Appointment
O’Sigla hereby grants the referral partner the non-exclusive right to channel people towards COLLECTA
Term
This agreement shall continue for the entire lifetime of Collecta, where all current relationships with third party stakeholders remain the same. Any changes to this term will be immediately communicated to the referral partner through the provided email
Obligations of O'Sigla
In performing its duties and obligations under this Agreement, O’SIGLA shall
- Perform all duties, services and obligations under this Agreement in good faith with reasonable care and skill
- Observe all relevant codes of practice and statutory and regulatory requirements in the jurisdiction(s) to which services are provided
- Ensure optimal service uptime for Collecta
- Resolve all service downtime instances within a maximum of 24 hours
- Ensure the interface of the application is user friendly
- Continually update technological platform in line with current trends and standards
- Provide dashboards for referral partners to monitor their activities
Referral Partner
In performing its duties and obligations under this Agreement, the referral partner shall
- Perform all duties, services and obligations under this Agreement in good faith with reasonable care and skill
- Observe all relevant codes of practice and statutory and regulatory requirements in the jurisdiction(s) to which services are provided
- Use his strategic position and marketing skill to channel every available opportunity towards COLLECTA
- Provide exclusive information about a potential customer that could enhance the chances of the parties in getting the business to O’sigla Resources
- Be responsible for all expenses directly incurred by the Partner in securing the business.
Fee and Revenue Sharing
- The referral partner is entitled to 20% of the income due to O’Sigla for every transaction
- The amount due to the referral partner can be easily monitored on the referral dashboard in Collecta
- Referral partner will be able to transfer the their earnings to their account once they reach the minimum payout limit of 1,065.00 Naira
Dispute Resolution
- The parties shall use their best endeavors to reach an amicable settlement of any dispute or differences which shall at any time arise between the parties whether during the Agreement or afterwards touching or concerning the Agreement or its construction or effect or the rights, duties or liabilities of the parties under or by virtue of it or otherwise or any other matter in any way connected with or arising out of the subject matter of the Agreement, by mutual discussion between their respective Chief Executives or their authorised representatives. If the dispute cannot be resolved by mutual discussion within fourteen (14) days of the dispute arising, the parties shall resort to mediation by their legal representatives
- The validity of this Agreement, its interpretation, the respective rights and obligations of the Parties in all of the matters arising in any way out of this Agreement or its performance, shall be determined in accordance with the laws of the Federation Of Nigeria and that, subject to clause above, nothing in this Agreement shall prevent any party from seeking urgent relief in a court of competent jurisdiction
Governing Law and Jurisdiction
This Agreement, its interpretation, and any non-contractual obligations arising from or connected with it are governed by and shall be construed in accordance with Nigerian Law
Successors and Assigns
This Agreement shall bind and inure to the benefit of and be enforceable by the Parties and their respective successors and assigns. This agreement shall not be assigned by the referral partner without the consent of O’Sigla Resources
Amendments
No term or provision of this Agreement may be waived or modified unless such waiver or modification is in writing and signed by the Party against whom such waiver or modification is sought to be enforced
No Waiver
No waiver or acquiescence of any breach, or any continuing or subsequent breach of any provision of this Agreement shall be construed as a waiver of any right under or arising out of this Agreement or acquiescence to any recognition of any right and/or any position other than as expressly stipulated in this Agreement
Whole Agreement
This Agreement constitutes the entire agreement and understanding between the parties and supersedes any prior representations which the parties may have made, whether orally or in writing. Any modification and/or amendment to this terms will be communicated to partners by O’Sigla through emails.
Termination
A partner may cease to be a referral partner by sending an email to O’Sigla to that effect.
Good Faith
The Parties undertake to do all things reasonably within its power, which are necessary or desirable to give effect to the spirit and intent of this Agreement.
